Bridgestone to Acquire TomTom´s Digital Fleet Solutions Business

2019/01/22

Tokyo, January 22, 2019 – Bridgestone Corporation (Bridgestone) announced that its subsidiary Bridgestone Europe NV/SA, has entered into an agreement with TomTom to acquire TomTom Telematics, its digital fleet solutions business, for a cash consideration of €910 million (JP¥114 billion). The transaction is anticipated to be completed latest in the 2nd quarter of 2019, subject to the satisfaction of customary closing conditions such as regulatory approvals.

TomTom is the number one provider of digital fleet solutions in Europe, a marketplace with very diverse in legal, commercial and cultural requirements. Its digital fleet solutions business has successfully demonstrated its ability to operate in complex and demanding market environments and has continued to strengthen its potential to expand globally.

TomTom's digital fleet solution offers an industry leading data platform for connected vehicles enabling safer driving, improving productivity and optimizing uptime for personal and commercial mobility. Combining this digital fleet solution with Bridgestone's tire expertise and global service network creates an opportunity that accelerates the company's effort to become a key partner in the Mobility as a Service (MaaS) landscape with leading tire products, services and solutions offerings.

In addition to reinforcing Bridgestone's broad and leading portfolio, this strategic investment will also strengthen its position as an innovative leader in the field of tire design, and tire predictive maintenance service. Bridgestone will gain unprecedented insights into vehicle and tire operating conditions and be able to leverage a growing installed user base of 860,000 vehicles communicating 200 million data points per day.

With this acquisition, Bridgestone adds core components to its Tire and Diversified Products as a Solution (Bridgestone T&DPaaS) strategy defining the company's evolving business domain and continuous commitment towards value creation for its customers and the society.

Bridgestone Named to the Dow Jones Sustainability World Index for the Third Consecutive Year
– Achieved the highest score in the Auto Components industry sector in the environmental dimension –

TOKYO (September 19, 2018) – Bridgestone Corporation (Bridgestone) has been named to the Dow Jones Sustainability World Index (DJSI World) for the third consecutive year and the Dow Jones Sustainability Asia Pacific Index for the ninth consecutive year. These indices, maintained collaboratively by S&P Dow Jones Indices and RobecoSAM, measure the performance of the world's sustainability leaders based on a comprehensive analysis of long-term economic, environmental and social criteria.

Bridgestone achieved again the highest score in the Auto Components industry sector in the environmental dimension and the maximum score of 100 in the environmental assessment criteria: environmental reporting. Bridgestone also obtained the highest score in its sector for climate strategy in the environmental dimension.

In February 2018, Bridgestone launched a new Global Sustainable Procurement Policy for further driving sustainable procurement. It is applicable to all purchased materials and services, as well as all suppliers globally. Such an advanced effort that enhanced the sustainability of Bridgestone is highly evaluated.

In March 2017, the Bridgestone Group launched its global Corporate Social Responsibility (CSR) commitment, Our Way to Serve. Bridgestone to Transfer “PureBeta” Ultra High Purity Fine Ceramics SiC Component Operations

Tokyo (October 17, 2018) — Bridgestone Corporation announced on October 11 that it has reached an agreement with MARUWA CO., LTD., to transfer its “PureBeta” ultra high purity fine ceramics*1 silicon carbide (SiC) component operations to this company.

Since the launch of “PureBeta” in 2003, products from this line have been adopted by numerous semiconductor production equipment and semiconductor device manufacturers around the world, primarily for use as components in semiconductor production equipment. However, it was decided to transfer this business as part of the reorganization of the diversified products business*2, which is centered on solutions businesses, with the aim of achieving profitable and sustainable growth.

Financial information pertaining to “PureBeta” operations is not disclosed.
