An acquisition or disposal of voting rights
Immediately following the rights issue of ordinary shares by Aston Martin Lagonda Global Holdings plc (the “Company”) on 28 September 2022 (the “Rights Issue”), Lawrence Stroll indirectly controlled the voting rights of 128,103,375 ordinary shares of the Company, corresponding to 18.333034% of the Company’s issued share capital.
Following the rights issue, Yew Tree Overseas Limited (“Yew Tree”) and certain Other Consortium Members (as defined below) purchased 4,860,469 ordinary shares in the rump placing and, as a result, Lawrence Stroll indirectly controls the voting rights of 132,963,844 ordinary shares of the Company, and such shares amount to 19.028622% of the Company’s issued share capital.
Securities Services Nominees Limited holds a number of the Company’s shares on the shareholder register as nominee for other shareholders in addition to the shares it holds in its capacity as nominee for Yew Tree, hence the discrepancy between the percentages of voting rights held by Securities Services Nominees Limited and Yew Tree in Box 9 above.
The other members of the consortium of the Company’s shareholders led by Yew Tree, being Saint James Invest SA, J.C.B. Research, RRRR Investments LLC, FrancInvest Holding Corporation, John Idol, Omega Funds I Limited and ErsteAM Ltd (the “Other Consortium Members”) have given personal undertakings to Lawrence Stroll that they will exercise the voting rights attaching to the shares in the Company directly or indirectly held by them in accordance with Lawrence Stroll’s instructions. Lawrence Stroll therefore indirectly holds the voting rights attaching to the shares in the Company directly and indirectly held by the Other Consortium Members.
