Mahindra & Mahindra Ltd. said T.N. Manoharan, its Lead Independent Director, passed away on Wednesday, July 30, 2025. The company confirmed the news in an official filing with the National Stock Exchange of India, BSE Limited, The Luxembourg Stock Exchange, and the London Stock Exchange, in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Manoharan was first appointed as an Independent Director on the board of Mahindra & Mahindra on November 11, 2016, and assumed the role of Lead Independent Director on August 8, 2024. His contributions to corporate governance, strategic oversight, and institutional integrity were widely acknowledged across the organization.
In a statement, Anand G. Mahindra, Chairman of Mahindra & Mahindra, expressed deep condolences on behalf of the board and management. “We extend our heartfelt sympathies to Manoharan’s family and loved ones. His insights, professionalism, and commitment to ethical business practices have significantly shaped the company’s governance framework,” the statement read.
A distinguished Chartered Accountant and Padma Shri awardee, Manoharan held leadership positions across key financial institutions, regulatory bodies, and professional organizations throughout his career. His expertise in finance, governance, and public policy brought substantial value to the board’s deliberations.
No immediate successor has been announced. The board will determine the next steps in accordance with corporate governance norms and regulatory requirements.
