TVS Motor Completes Engines Engineering S.p.A Acquisition, Establishes Bologna Centre

TVS Motor Company Limited has informed stock exchanges that its subsidiary TVS Motor (Singapore) Pte Ltd has successfully completed the acquisition of Engines Engineering S.p.A, an Italian automotive design and engineering company renowned for advanced prototyping and high-performance motorcycle innovation.

The acquisition, which was concluded on October 3, 2025, involved the purchase of 1,000,000 equity shares representing 100% of the share capital in Engines Engineering S.p.A from ACT S.r.l. The transaction had been previously announced on September 25, 2025, subject to the fulfillment of certain conditions precedent.

Following the completion of this transaction, Engines Engineering S.p.A has become a wholly owned subsidiary of both TVS Motor (Singapore) Pte Ltd and TVS Motor Company Limited, effective October 3, 2025.

Strategic Centre of Excellence in Bologna

Alongside the acquisition, TVS Motor has established a global Centre of Excellence for design and engineering in Bologna, Italy, as part of its strategy to deliver premium mobility solutions in international markets. The facility will integrate Engines Engineering’s expertise, including its experience in MotoGP racing, with TVS Motor’s existing global research and development capabilities.

The new centre is expected to enhance the company’s speed to market, product differentiation, and technological leadership through access to diverse engineering teams and global talent pools. It will also support Norton Motorcycles, TVS Motor’s British subsidiary, in developing modern luxury motorcycles with advanced performance and design capabilities.

Leadership Vision and Strategic Focus

Sudarshan Venu, Chairman of TVS Motor Company, characterized the centre as a milestone in strengthening the company’s capabilities and accelerating its mobility vision. He highlighted the combination of Engines Engineering’s racing expertise with TVS Motor’s engineering strengths to deliver premium, connected, and electric vehicles.

The Bologna centre will focus on three key areas: design leadership and engineering excellence through digital simulation and rapid prototyping, future mobility technologies incorporating AI-driven design tools, and global talent collaboration with universities and technology partners.

Expected Outcomes

TVS Motor expects the initiative to reduce product development cycles, enhance design flexibility, and expand its premium portfolio, including high-displacement motorcycles, advanced scooters, and electric mobility platforms.

The company, established in 1992 and listed on both BSE and NSE stock exchanges, operates manufacturing facilities in India and Indonesia and distributes products across 80 countries globally.
