German Manager Magazin: Volkswagen: BGH explains comparisons by VW with manager insurance as a null004451

Volkswagen In the diesel scandal, the consent of the shareholders must be obtained again for a comparison with the manager liability insurers. The Federal Court of Justice (BGH) declared the corresponding decision of the General Assembly 2021 in Karlsruhe on Tuesday.

In the agenda, the carmaker did not adequately inform the shareholders that this was associated with a waiver of claims against all other board members, decided the II. II. VW had agreed with the insurers to pay 270 million euros. Investor protection associations had contested the decisions.

In the same general meeting, the comparisons were also approved with the former CEO Martin Winterkorn (78) and another former board. Winterkorn should pay 11.2 million euros, the former head of the VW subsidiary Audi Rupert Stadler (62) 4.1 million euros. The aim of the comparisons was to finally check off possible claims in connection with breaches of duty during the diesel scandal.

In contrast, the investor protectors had also sued. According to the BGH, the Celle Higher Regional Court must negotiate again. Here the reasoning was too poor whether the former managers could really not afford higher sums.
